1. Acceptance of Terms
By accessing or using the DealerAI platform at aidealerhub.com ("Service"), operated by Aiva Solutions ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
DealerAI is a cloud-based dealership management system (DMS) for independent used car dealers. The Service includes inventory management, CRM, deal processing, AI-powered customer communications, dealer websites, appointment scheduling, electronic signatures, and related tools.
3. User Accounts
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity under your account.
- You must notify us immediately of any unauthorized access.
- We reserve the right to suspend or terminate accounts that violate these terms.
4. SMS/Text Messaging Terms
By submitting a lead form or inquiry on a dealer website powered by DealerAI, you consent to receive SMS/text messages from the dealership through our platform.
- Types of messages: Vehicle inquiry responses, appointment reminders, deal status notifications, and follow-up communications.
- Frequency: Message frequency varies. Typically 1-6 messages per month based on your interactions.
- Opt-out: Reply STOP to any message to unsubscribe. You will receive a one-time confirmation.
- Help: Reply HELP for support, or email support@aiva-solutions.com.
- Costs: Message and data rates may apply per your carrier plan.
- Carriers: Compatible with all major US carriers including AT&T, T-Mobile, Verizon, and others. Carriers are not liable for delayed or undelivered messages.
- SMS consent is not required as a condition of purchasing any goods or services.
- We will not share your phone number or SMS opt-in consent with third parties for marketing purposes.
5. Dealer Obligations
Dealers using the DealerAI platform agree to:
- Comply with all applicable federal, state, and local laws and regulations
- Maintain accurate inventory and pricing information
- Handle customer data in accordance with our Privacy Policy
- Not use the platform for illegal, fraudulent, or deceptive purposes
- Comply with the FTC Used Car Rule (Buyer's Guide requirements)
- Comply with the Telephone Consumer Protection Act (TCPA) for messaging
- Obtain proper customer consent before initiating communications
6. Electronic Signatures
The Service provides electronic signature capabilities compliant with the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). By using the e-signature feature:
- You consent to conduct transactions electronically
- You agree that electronic signatures have the same legal effect as handwritten signatures
- All signed documents include an audit trail (timestamp, IP address, document hash)
- You may request paper copies of any electronically signed document
7. AI-Generated Content
The Service uses artificial intelligence to generate vehicle descriptions, customer responses, pricing recommendations, and other content. While we strive for accuracy:
- AI-generated content is provided as a starting point and should be reviewed
- Dealers are responsible for verifying accuracy before publishing
- AI pricing recommendations are estimates and not guarantees of market value
- AI responses to customers do not constitute binding offers
8. Intellectual Property
The Service, including its software, design, and documentation, is owned by Aiva Solutions. Dealers retain ownership of their data, including inventory listings, customer records, and transaction data. You grant us a license to process your data solely to provide the Service.
9. Payment and Billing
Subscription fees are billed according to the plan selected at sign-up. Fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of access to the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIVA SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Termination
Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate access immediately for violation of these terms. Upon termination, you may request export of your data within 30 days.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Escambia County, Florida.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the updated terms.
